who invented this security? I heard that it was invented by a lawyer from Sullivan&Cromwell LLP. Could you tell me the story behind this invention?

Is there another way it could begin other than saying "it has characteristics of both debt and equity securities"? Does the Delaware trust really issue preferred stock? If so, then the trust-preferred security is an equity security, not a debt security. While as an investment it may resemble the performance of a debt security, would it be better first to describe it as preferred stock issued by a Delaware trust, if that is what it is?
